First investment for Arca Space Capital in RINA S.p.A.
Arca Space Capital, the private equity fund promoted by Arca Fondi SGR in partnership with Space Capital Advisors, announces, the day after its formation, its first investment in RINA S.p.A., one of the leading international players in engineering consultancy and Testing, Inspection & Certification (TIC).
Arca Space Capital will take part in a capital increase in RINA worth up to a maximum of Euro 180 million, investing alongside Fondo Italiano di Investimento and other co-investors through a dedicated vehicle.
Following the transaction, whose closing is expected in autumn 2023, the investment vehicle will acquire a minority stake of up to 33% of RINA's capital, which will continue to be controlled by Registro Italiano Navale.
Under the governance arrangements, Arca Space Capital will have the right to appoint one of the vehicle's board members, with the other members to be designated by Fondo Italiano di Investimento.
The injection of new capital will allow RINA to strengthen its capital structure and support the group's next phase of internationalisation and growth, both organically and through M&A, with a view to a possible future listing.
In 2022, RINA recorded pro-forma revenues of over Euro 700 million. In 2023 it is confirming its growth targets of close to Euro 800 million.
